ในกรณีที่กรรมการพ้นจากตำแหน่งเพราะเหตุถึงแก่ความตายไม่ว่าผู้นั้น จะดำรงตำแหน่งครบหนึ่งปีหรือไม่ก็ตาม ให้ผู้นั้นมีสิทธิได้รับบำเหน็จตอบแทนเป็นเงินซึ่งจ่ายครั้งเดียว ตามเกณฑ์ในมาตรา ๗ โดยให้จ่ายแก่ทายาทโดยธรรมซึ่งเป็นผู้มีสิทธิรับมรดกของผู้ตาย ตามประมวลกฎหมายแพ่งและพาณิชย์
