ในกิจการที่เกี่ยวกับบุคคลภายนอก ให้ผู้อำนวยการเป็นผู้แทนของสำนักงาน และเพื่อการนี้ ผู้อำนวยการจะมอบอำนาจให้บุคคลใดปฏิบัติงานเฉพาะอย่างแทนก็ได้ แต่ต้องเป็นไปตาม ระเบียบหรือข้อบังคับที่คณะกรรมการกำหนด นิติกรรมใดที่ผู้อำนวยการหรือผู้รับมอบอำนาจจากผู้อำนวยการกระทำโดยฝ่าฝืนระเบียบหรือ ข้อบังคับที่คณะกรรมการกำหนดย่อมไม่ผูกพันสำนักงาน เว้นแต่คณะกรรมการให้สัตยาบัน
