เลขาธิการต้องไม่เป็นผู้มีส่วนได้เสียในนิติกรรมที่ทำกับสำนักงานหรือในกิจการ ที่กระทำให้แก่สำนักงาน ไม่ว่าทางตรงหรือทางอ้อม เว้นแต่เป็นเพียงผู้ถือหุ้นเพื่อประโยชน์ในการลงทุน โดยสุจริตในบริษัทจำกัดหรือบริษัทมหาชนจำกัดที่กระทำการอันมีส่วนได้เสียเช่นว่านั้น ไม่เกินอัตรา ตามข้อบังคับที่คณะกรรมการกำหนด ในกรณีที่บุพการี คู่สมรส ผู้สืบสันดาน หรือบุพการีของคู่สมรสของเลขาธิการกระทำการตาม วรรคหนึ่ง ให้ถือว่าเลขาธิการเป็นผู้มีส่วนได้เสียตามวรรคหนึ่ง เล่ม ๑๓๔ ตอนที่ ๗๐ ก
